The following is the Terms of Service for a Record Label ("Record Label") that registers with WorkSessions Corporation ("WorkSessions").
The Record Label may submit music and materials ("material") to WorkSessions. The Record Label may submit music and material to WorkSessions using a variety of methods including but not limited to e-mail attachments, website links contained on third-party websites, website links contained in an e-mail, website links contained in any communication, website links that are verablly communicated in person, website links that are verbally communicated via telephone, FTP, postal mail, any instant messaging service such as AOL or any third-party websites.
The Record Label may submit music to WorkSessions in digital or physical format. Digital formats that WorkSessions accepts are mp3, mp4, wav and wma. WorkSessions shall reserve the right to accept or reject additional digital formats. Physical formats that WorkSessions accepts are CD (compact disc) and vinyl record. WorkSessions shall reserve the right to accept of reject additional physical formats. The Record Label may also submit additional materials to WorkSessions such as graphics, photos, descriptions and website addresses that enhance the promotion of the music submitted and is intended to accompany the music when the music is commercially sold. WorkSessions reserves the right to accept or reject any music or material that the Record Label submits to WorkSessions for any reason.
By submitting music and material to WorkSessions, the Record Label represents and warrants that the Record Label is the rightful owner of any copyrights, trademarks, patents or any other intellectual property contained in the music and material therein. The Record Label will indemnify and save harmless WorkSessions, employees of WorkSessions and agents of WorkSessions from and against all claims, causes for action, demands, expenses, liabilities and losses including, without limitation, reasonable legal fees, arising out of or in any connection with the Record Label's breach of those representations and warranties.
By submitting music and material to WorkSessions, the Record Label hereby appoints WorkSessions as its licensee and attorney-in-fact for the territory of the world for the purpose of promoting music and material that the Record Label has submitted to WorkSessions. The Record Label grants WorkSessions the permission to enable visitors, users and subscribers of WorkSessions to perform any internet function including but not limited to the ability to preview, listen, stream and download music and material that the Record Label submits to WorkSessions. The Record Label grants WorkSessions the permission to perform any internet function on any third-party website including but not limited to posting, listing, advertising, sharing, streaming or making available for download the music and material that the Record Label has submitted to WorkSessions.
The Record Label acknowledges that the Record Label is submitting music and material to WorkSessions for the purpose of promoting and broadcasting the music and material. The Record label acknowledges that WorkSessions will make the music and material available to disc jockeys and music industry professionals including but not limited to program directors, music directors, magazines, disc jockeys, radio stations, television stations and any other avenues that enhance the promotion and broadcasting of the music and material.
